Leasing

  • Representing a junior anchor retailer in 11 lease transactions in Texas, Florida, New Jersey, California and Connecticut.  Responsibilities included drafting and negotiating (a) building pad site leases in Shopping Centers for store development, (b) leases for space in shopping centers under construction, (c) an assignment and modification of an existing lease, (d) SNDA's with the landlord's lender, and (e) revisions to the REA's and other easements affecting the Shopping Center.
  • Representing a shopping center owner in negotiating and drafting a ground lease for a development pad site for a bank.
  • Representing an office building tenant in the lease of approximately 15,350 square feet of space and the sublease of a portion of the demised premises in Fairfax County, Virginia. 
  • Representing an owner-landlord in drafting and negotiating office lease agreements and lease amendments for its office buildings in Montgomery County, Maryland.
  • Representing an owner-landlord in a simultaneous lease termination agreement and lease expansion agreement in Alexandria, Virginia.

 

Development

  • Representing a fee landlord in negotiating and drafting (a) 99-year unsubordinated ground lease of an 0.84 acre parcel of development property in Alexandria, Virginia, (b) a simultaneous transfer of ownership interests in the fee landlord, (c) a sublease of a historic building on the property back to an affiliate of the fee landlord, (d) an SNDA with the ground tenant's construction lender, and (e) completion guaranty and payment guaranty from a tenant affiliate. 
  • Representing a borrower in negotiating and documenting a $28M construction loan for a residential project in Silver Spring, Maryland.
  • Representing a big box retailer in a ground lease of approximately 14 acres for a new store site and the $11.4M sale of its adjacent store in Portsmouth, New Hampshire.  Responsibilities included drafting and negotiating stormwater easement agreements, access easement agreements and use restriction agreements. 
  • Representing an office building owner in drafting and negotiating an AIA construction contract in Alexandria, Virginia.

 

Acquisition and Disposition

  • Representing an owner in the sale of a $16.6M office building in Ashburn, Virginia with an early termination of an existing lease agreement. 
  • Representing the owner of a building in a $21.4M sale of membership interests in its building Gaithersburg, Maryland with existing financing assumed by buyer. 
  • Representing a purchaser in the acquisition of a $45.4M shopping center in Hackensack, New Jersey with the assumption of existing debt and new mezzanine financing.
  • Representing an institutional investor in the sale of a $59MM office building in Washington, DC.  Responsibilities included drafting and negotiating asset purchase agreement.  
  • Representing an institutional investor in the acquisition of a $49M shopping center in Plainsboro, New Jersey through the purchase of a fee tract and the stock of the owner of a parcel.  Responsibilities included drafting and negotiating asset purchase agreement and stock purchase agreement.  
  • Representing a pro bono client in the acquisition of a 16 acre parcel for the development of a mobile home community in Athens, Georgia. 
  • Representing an association in the acquisition and financing of an of an office condominium in Alexandria, Virginia.

 

Finance and Loan Servicing

  • Representing an institutional lender in the curtailment and modification of its participating junior loan to a $114M senior loan on a multifamily building in Arlington, Virginia.  Responsibilities included drafting and negotiating loan splitter and assignment and loan modification documents.  
  • Representing an institutional lender in providing construction financing of $172.5 M for 3 multifamily buildings in suburban Maryland.  Responsibilities included negotiating special title coverage and deed of trust provisions for a portion of the building footprint not owned or leased by the borrower, and analyzing borrower's mezzanine loan documents.  
  • Representing an institutional lender in the conversion of its participating junior construction loan to a $68M permanent loan with a $40M senior loan on a multifamily building in Alexandria, Virginia.
  • Representing a servicer in consenting to a merger by a borrower affiliate which caused a change of control in borrower triggering the transfer and assumption provisions affecting 20 loans.  Responsibilities included (a) drafting the lender's consent documentation and replacement guaranty agreements, (b) analyzing the pooling and servicing agreements, and (c) supervising due diligence. 
  • Representing a lender on a $23M construction loan for a Wal-Mart anchored shopping center in Lawrenceville, Georgia. 
  • Representing a special servicer in obtaining a receiver and foreclosing on an assisted living facility in Gwinnett County, Georgia.  Responsibilities included drafting default and acceleration letters, preparing and filing consent orders for the receiver, preparing foreclosure documentation, and auctioning the property.
  • Representing a special servicer in a loan work-out for a hotel property in Atlanta, Georgia.  Responsibilities include drafting and negotiating a forbearance agreement.
